1. Acceptance of Terms

By accessing or using GovernLayer ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

GovernLayer provides an autonomous AI governance platform including compliance auditing, behavioral drift detection, risk scoring, and immutable audit ledger services via API and web interface.

3. Accounts

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials, API keys, and tokens.
• You must notify us immediately of any unauthorized use of your account.
• You may not share API keys or allow multiple users to access a single-user account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service to store or transmit malicious code.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you submit to the Service. We process your data solely to provide the Service and as described in the Privacy Policy.

6. Service Plans and Billing

• Free Tier: Up to 3 AI models, 20 API requests per minute, community support.
• Paid Plans: Additional capacity, frameworks, and support as described on our pricing page.
• Paid subscriptions are billed in advance on a monthly or annual basis.
• Refunds are handled in accordance with our refund policy.

7. API Usage

• API access is subject to rate limits based on your plan tier.
• You must not exceed your plan's rate limits or attempt to circumvent them.
• We reserve the right to throttle or suspend API access for abuse.

8. Intellectual Property

The Service, including its source code, design, and documentation, is owned by GovernLayer Inc. and protected by intellectual property laws. The core governance engine is licensed under the Apache License 2.0. Enterprise features are proprietary.

9. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind, express or implied. GovernLayer does not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific compliance requirements. The Service provides governance tools and assessments but does not constitute legal advice.

10. Limitation of Liability

To the maximum extent permitted by law, GovernLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your right to access the Service ceases immediately. We will make your data available for export for 30 days following termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
